Unified Radios Terms of Service and Privacy Policy

IMPORTANT NOTICE TO INTERNATIONAL USERS: The Services are operated from the United States and are governed exclusively by United States and Wyoming law. This platform is not directed at residents of the European Union, European Economic Area, United Kingdom, or any other jurisdiction that imposes data protection, privacy, or consumer protection requirements beyond those applicable under United States federal and Wyoming state law. If you are located in such a jurisdiction, you should not use the Services. By using the Services from outside the United States, you voluntarily consent to the transfer, processing, and storage of your data in the United States under United States law, and you waive any rights you may have under the laws of your home jurisdiction to the fullest extent permitted by applicable law.

Unified Radios LLC ("we," "us," or "our"), a Wyoming limited liability company, provides a social and location-aware platform through mobile and web-based applications ("Services"). By using our Services, you agree to all terms and conditions set forth herein, including our data collection and use practices. Continued use of the Services after any update to these terms constitutes your acceptance of the revised terms.

Eligibility and Geographic Restrictions

The Services are intended for use by licensed amateur radio operators and individuals with a legitimate interest in amateur radio communications. You must be at least 18 years of age to use the Services. By using the Services, you represent that you meet these eligibility requirements.

The Services are operated from the United States and are intended for use by United States residents and international users who voluntarily access a United States-based platform under United States law. We make no representation that the Services are appropriate or available for use in any particular jurisdiction outside the United States. Access to the Services from jurisdictions where such access is illegal or where additional legal obligations would be imposed on Unified Radios LLC is strictly prohibited.

We reserve the right, at our sole discretion and without notice or liability, to restrict, suspend, or terminate access to the Services from any geographic region, country, or jurisdiction at any time. This includes but is not limited to jurisdictions that impose data protection, privacy, or regulatory requirements that we determine, in our sole discretion, are impractical or burdensome to comply with.

By creating an account and using the Services, you provide your affirmative consent to the collection, processing, storage, and use of your data as described in these terms. We do not represent that such processing meets the requirements of any non-US data protection framework including but not limited to the General Data Protection Regulation (GDPR), the UK Data Protection Act, Canada's Personal Information Protection and Electronic Documents Act (PIPEDA), or Brazil's Lei Geral de Proteção de Dados (LGPD).

International Data Transfers

If you access the Services from outside the United States, your data will be transferred to, stored, and processed in the United States. Data protection laws in the United States may differ from those in your home country and may provide less protection. By using the Services, you expressly and voluntarily consent to this transfer and processing. If you do not consent to the transfer of your data to the United States, do not use the Services.

We do not maintain Standard Contractual Clauses, Binding Corporate Rules, or any other cross-border data transfer mechanisms required under non-US law. Users in jurisdictions requiring such mechanisms should not use the Services.

Acceptable Use and Indemnity

You agree to use the Services lawfully and respectfully. You will not misuse the platform, access it in unauthorized ways, or interfere with its normal operation. You are solely responsible for ensuring your use of the Services complies with all applicable federal, state, local, and international laws, regulations, and licensing requirements applicable in your jurisdiction, including those governing amateur radio operations and communications.

The Services may incorporate, interact with, or facilitate access to technology, software, protocols, or features that may be subject to third-party intellectual property rights. By using the Services, you represent and warrant that your use complies with all applicable laws and that you hold any licenses, authorizations, or permissions required for your particular use case and jurisdiction. Unified Radios LLC makes no representation that use of any feature of the Services is free of third-party claims of any kind.

You agree to indemnify and hold harmless Unified Radios LLC and its affiliates, members, employees, and contractors against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) resulting from: (a) your misuse of the Services; (b) your violation of any applicable laws or regulations in any jurisdiction; (c) your breach of these terms; (d) your use of any feature that implicates third-party rights; (e) any activity conducted through your account; or (f) any claim brought against us by a regulatory authority in any jurisdiction arising from your use of the Services.

Hardware Products

Unified Radios LLC may sell hardware products directly or through authorized retailers. Hardware sold by Unified Radios LLC is provided with a limited warranty as described below. Hardware purchased from third-party manufacturers or retailers is not warranted or supported by Unified Radios LLC.

Unified Radios Hardware Warranty

Hardware products sold directly by Unified Radios LLC carry a limited warranty of ninety (90) days from the date of delivery, covering defects in materials and workmanship under normal use. This warranty does not cover:

Warranty claims must be submitted within the warranty period. Our sole obligation is, at our discretion, to repair, replace, or refund the purchase price of the defective product. This warranty is provided in lieu of all other warranties, express or implied.

Third-Party Hardware

Many users access the Services using hardware manufactured by third parties. Unified Radios LLC makes no representations or warranties of any kind regarding the fitness, safety, regulatory compliance, or performance of any third-party hardware in any jurisdiction. You are solely responsible for your choice of hardware and ensuring it complies with applicable regulations.

Firmware, Software, and Device Updates

The Services may provide or facilitate firmware updates, software updates, ROM updates, or configuration changes to compatible devices. Any such updates are provided on an "as-is" basis with no warranty of any kind. By accepting or applying any update, you acknowledge and agree that:

Service Availability and Discontinuation

Unified Radios LLC reserves the right to modify, suspend, or permanently discontinue the Services, or any feature or portion thereof, at any time, with or without notice, and without liability to you or any third party. This includes but is not limited to subscription services, network connectivity features, device support, firmware update services, and any other platform functionality.

We may also terminate or suspend your account and access to the Services at any time, with or without cause, with or without notice, including if we determine that continued provision of Services to you or your jurisdiction creates legal, regulatory, or operational risk to Unified Radios LLC. Upon termination, your right to use the Services ceases immediately. Provisions of these terms that by their nature should survive termination shall survive, including indemnity obligations, disclaimers of warranty, and limitations of liability.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, REGULATORY COMPLIANCE IN ANY JURISDICTION, OR UNINTERRUPTED OR ERROR-FREE OPERATION. UNIFIED RADIOS LLC DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT ANY DEFECTS WILL BE CORRECTED. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM UNIFIED RADIOS LLC SHALL CREATE ANY WARRANTY.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNIFIED RADIOS LLC AND ITS AFFILIATES, MEMBERS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY AND WHETHER OR NOT UNIFIED RADIOS LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Data Retention

We retain user data only as long as necessary to provide our Services, comply with legal obligations under United States law, or resolve disputes. Location and usage data may be anonymized for analytical purposes when no longer needed. Requests for deletion of personal data will be honored to the extent practicable and consistent with our legal obligations under United States law.

Consent and Visibility

By using the Services, you acknowledge that certain information (including your callsign and approximate or exact location) may be displayed to other users globally. You may manage visibility settings where offered within the platform.

Third-Party Services

We may integrate with third-party services, including mapping APIs, analytics platforms, radio networks, and crash reporting tools. These third parties may process data subject to their own privacy policies. We are not responsible for the practices, content, or compliance of any third-party services.

Security

We use appropriate technical and organizational safeguards, including encrypted transmission and secure storage, to protect your data. However, no method of transmission over the internet or electronic storage is completely secure, and we cannot guarantee absolute security. We disclaim liability for any unauthorized access to or disclosure of your data to the extent permitted by applicable law.

Breach Notification

In the event of a data breach affecting your personal information, we will notify affected users in accordance with applicable United States federal and Wyoming state law. We make no representation that our breach notification practices satisfy the requirements of any non-US jurisdiction.

Your Rights

You may request access to, correction of, or deletion of your personal data by contacting us. We will honor such requests to the extent practicable and consistent with our legal obligations under United States law. We make no representation that our data subject rights practices satisfy the requirements of any non-US jurisdiction including but not limited to GDPR, PIPEDA, or LGPD. If the data subject rights framework of your jurisdiction requires practices beyond those described herein, you should not use the Services.

Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these terms or the Services shall be resolved by binding arbitration administered under the rules of the American Arbitration Association, conducted in Sheridan County, Wyoming, rather than in court, except that you may assert claims in small claims court if your claims qualify. YOU AND UNIFIED RADIOS LLC WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. This arbitration agreement applies to the fullest extent permitted by law. Users in jurisdictions that do not permit mandatory arbitration or class action waivers remain subject to this provision to the maximum extent permitted by the law of their jurisdiction.

Governing Law and Jurisdiction

These terms are governed by the laws of the State of Wyoming and applicable United States federal law, without regard to conflict of law provisions. Any disputes not subject to arbitration shall be resolved exclusively in the state or federal courts located in Sheridan County, Wyoming. By using the Services, you irrevocably consent to the personal jurisdiction of such courts and waive any objection to venue. This governing law provision applies regardless of your location or the location of any servers or infrastructure used to provide the Services.

Severability and Entire Agreement

If any provision of these terms is found to be unenforceable in any jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect. These terms constitute the entire agreement between you and Unified Radios LLC with respect to your use of the Services and supersede all prior agreements.

Force Majeure

Unified Radios LLC shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, network failures, third-party service outages, regulatory actions, government orders, or other circumstances outside our control.

Changes to These Terms

These terms may be updated from time to time. We will update the "Last updated" date at the top of this page. Continued use of the Services after any update constitutes your acceptance of the revised terms. We encourage you to review these terms periodically. For material changes, we may provide additional notice through the Services or by email.
